Welcome to Ady Nicole Photography, LLC (“Company,” “we,” “our,” or “us”). By accessing this website, booking services, registering for events, or purchasing products from Ady Nicole Photography, LLC, you agree to the following Terms & Conditions. Please read them carefully.

1. COPYRIGHT & IMAGE OWNERSHIP

All photographs, videos, graphics, and content created by Ady Nicole Photography, LLC remain the sole property and copyright of Ady Nicole Photography, LLC unless otherwise agreed upon in writing.

Clients may not:

• alter or edit images without permission,
• remove watermarks,
• screenshot proofs or previews,
• resell or redistribute images,
• use images for commercial purposes without written consent.

Personal-use print releases apply only to purchased digital images unless otherwise stated.

2. DIGITAL DOWNLOADS

Digital image purchases are licensed for personal use only. Due to the nature of digital products, all sales are final once files have been delivered or downloaded.

Ady Nicole Photography, LLC is not responsible for:

• lost files after delivery,
• customer storage failures,
• low-quality prints produced through third-party labs,
• incorrect cropping or color shifts from outside print providers.

Clients are encouraged to back up purchased files immediately after download.

3. EVENT PHOTOGRAPHY

Ady Nicole Photography, LLC makes every reasonable effort to photograph all riders, contestants, participants, and performances during an event. However, due to the unpredictable nature of live events, image capture of every participant is not guaranteed.

Factors that may affect coverage include:

• arena conditions,
• lighting,
• obstructions,
• contestant timing,
• weather,
• equipment limitations,
• safety concerns.

No refunds or credits will be issued for missed or unavailable images.

4. PAYMENT TERMS

Full payment is required before delivery of digital images, prints, products, or services unless otherwise agreed upon in writing.

Prices, packages, and product availability are subject to change without notice.

Chargebacks or payment disputes for legitimately delivered products or services may result in revoked image access and additional collection efforts.

5. BOOKINGS & RETAINERS

Session retainers and event deposits are non-refundable unless otherwise stated in writing.

Booking dates are not secured until payment and signed agreements have been received.

Rescheduling requests may be accommodated based on availability and weather conditions.

6. TURNAROUND TIMES

Editing and delivery timelines vary depending on event volume, session type, and seasonal workload.

Estimated turnaround times are not guaranteed but will be communicated as accurately as possible.

Ady Nicole Photography, LLC reserves the right to prioritize workflow and editing order at its discretion.

7. MODEL RELEASE

By participating in a photographed event or session, clients and participants grant Ady Nicole Photography, LLC permission to use images for:

• website portfolios,
• social media,
• advertising,
• marketing materials,
• publications,
• promotional use.

Clients who wish to request image privacy must submit a written request prior to the event or session.

8. WEBSITE USE

You agree not to misuse this website or attempt unauthorized access to galleries, downloads, customer information, or ordering systems.

Unauthorized downloading, reproduction, screenshotting, or redistribution of gallery images is prohibited.

9. LIMITATION OF LIABILITY

Ady Nicole Photography, LLC shall not be held liable for:

• technical failures,
• internet outages,
• gallery hosting interruptions,
• delivery delays outside reasonable control,
• acts of nature,
• venue restrictions,
• accidental image loss beyond reasonable backup efforts.

In the unlikely event of complete failure to deliver contracted services, liability shall be limited to the amount paid by the client.

10. THIRD-PARTY SERVICES

This website and ordering system may utilize third-party platforms, payment processors, hosting providers, labs, or software services.

Ady Nicole Photography, LLC is not responsible for third-party outages, processing delays, or external platform failures.

11. PRIVACY & COMMUNICATIONS

By submitting your information, placing orders, or registering for galleries, you consent to receive:

• order notifications,
• gallery updates,
• customer service communication,
• occasional promotional emails or text messages.

You may unsubscribe from marketing communications at any time.

12. GOVERNING LAW

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of Missouri.

13. CHANGES TO TERMS

Ady Nicole Photography, LLC reserves the right to update or modify these Terms & Conditions at any time without prior notice.
